General Terms and Conditions

1. The following terms and conditions apply to all sales. Deviations from these conditions or verbal agreements require written confirmation from us.

2 All offers are non-binding for us. Orders shall not be deemed accepted until they have been confirmed in writing. This also applies to orders placed with our representatives.

3. The prices in the enclosed list are subject to change and are quoted per item, assortment or set.

4. the delivery times confirmed by us in writing are calculated to the best of our knowledge on the basis of the respective situation, but must be regarded as non-binding due to possible difficulties. We reserve the right to make partial deliveries. Delay charges and claims for damages in the event of delayed delivery cannot be asserted against us.

5. delivery and dispatch of the goods shall be at the risk of the customer, even if the goods are delivered by our vehicles. If no special instructions are given by the customer, we shall choose the most favourable shipping route at our discretion.

6. complaints about the goods can only be considered if they are made to us within 8 days of receipt of the goods. Defects that are not immediately recognisable must be reported in writing immediately after they become apparent. Otherwise, a full guarantee is given for each tool, provided that it is handled properly.

7. Ownership of the goods delivered by us shall only pass to the buyer when he has settled all his liabilities arising from our deliveries of goods. This shall also apply if the purchase price for certain deliveries of goods designated by the customer has been paid. In the case of a current account, the retained title shall be deemed security for our balance claim. The buyer is authorised to sell the delivered goods in the ordinary course of business. He is prohibited from pledging them or assigning them by way of security. The purchaser must inform us immediately of any seizure or any other impairment of our rights by third parties. If the customer sells the goods delivered by us – regardless of their condition – he hereby assigns to us all claims against his customers arising from the resale for the full settlement of all our claims to the goods.

8. Place of fulfilment for delivery and payment is Wuppertal. The place of jurisdiction for delivery and payment shall be the Wuppertal Local Court

9. Unless otherwise agreed, our invoices are payable net within 30 days from the date of issue.

10. All articles are subject to technical and visual changes.
